01Who this applies to

These terms govern your use of guruboxz.com and the Guruboxz client portal at portal.guruboxz.com. By using either, you agree to them. They do not replace any signed engagement agreement — that always wins where it conflicts with these terms.

02Acceptable use

Don't abuse the portal. Don't try to access other clients' data. Don't pen-test our infrastructure without a signed agreement.

Standard stuff: no illegal content, no malware, no infringement, no harassment.

03Intellectual property

Content you submit to the portal (uploads, comments, approvals) remains yours. We hold a limited license to use it solely for the purpose of operating your engagement.

Code we ship to you under a paid engagement is yours, owned outright, transferred on final invoice. We retain no kill switch and no lien.

04Warranties + liability

We deliver in good faith. We do not warrant that the portal will be available 100% of the time. We aim for 99.9% but we will not pay an SLA penalty unless your engagement contract says so.

To the extent permitted by law, our total liability is capped at fees paid in the prior 12 months. We are not liable for indirect or consequential damages.

05Termination

You may stop using the site at any time. We may suspend access if you breach these terms, with notice where reasonable.

If you are an active client, the handoff playbook governs the wind-down regardless of these terms.

06Changes

We may update these terms. Material changes get an email + portal notification at least 14 days in advance. The effective date at the top of this page reflects the current version.
